1. Purpose
LUNIL is an online platform allowing users to publish listings for the sale of digital assets (YouTube channels, domain names, software, services, etc.). LUNIL acts solely as a hosting provider for these listings and plays no intermediary or guarantor role in transactions between buyers and sellers. Although LUNIL may suggest, integrate, or facilitate connections with third-party escrow services (such as Escrow.com), LUNIL does not intervene in the financial security process and remains a complete third party to the transaction. These Terms of Service (ToS) define the rights and obligations of users and LUNIL.
2. Registration
To use LUNIL, users must register by providing accurate and up-to-date information. Any false statement or identity theft will result in the immediate suspension of the account. LUNIL reserves the right to verify the identity of users and to refuse access to the service without justification.
3. Advertisers’ Responsibility
Ownership of Assets: The seller declares to be the legitimate owner of the digital asset offered for sale and guarantees that they have the right to transfer it. They agree to provide, upon request, any proof of ownership (invoice, transfer agreement, etc.).
Accuracy of Listings: The seller is solely responsible for the truthfulness and accuracy of the information contained in their listings.
LUNIL does not systematically verify the legitimacy of the assets offered for sale and disclaims all liability in the event of a dispute regarding the ownership or legality of the asset.
4. Transactions and Use of a Trusted Third Party (Escrow.com)
4.1. Transactions are carried out directly between buyers and sellers. LUNIL does not handle payments, disputes, or refunds.
4.2. Escrow Partnership (Escrow.com): In order to secure exchanges, LUNIL integrates the possibility of using the independent escrow service Escrow.com.
Independence of the Service: Escrow.com is a third-party platform, governed by its own terms of service and its own fee policy, which the user agrees to accept independently.
Absence of Liability: LUNIL cannot be held liable for the proper functioning, outages, errors, arbitration decisions, freezing or blocking of funds, or any dispute arising on or through the Escrow.com platform.
Fees: All fees related to the use of Escrow.com are exclusively borne by the buyer and/or the seller, according to the agreement concluded between them during the transaction.
4.3. Users assume all risks associated with transactions, including, but not limited to, risks of non-delivery, fraud, or non-compliance of the asset, whether the Escrow.com service was used or not. LUNIL cannot be held liable for damages resulting from transactions carried out via or in connection with the platform.
5. Prohibitions
The following are strictly prohibited on LUNIL:
The sale of illegally obtained assets (hacked accounts, cracked software, etc.).
Misleading, fraudulent, or deceptive listings.
Violent, hateful, discriminatory content, or content contrary to public order.
Any activity likely to infringe on intellectual property rights or the rights of third parties.
LUNIL reserves the right to remove any listing that does not comply with these ToS and to permanently ban the user concerned.
6. Limitation of Liability
LUNIL cannot be held liable for:
Disputes, payment defaults, or delivery failures between buyers and sellers.
Malfunctions, delays, errors, or financial losses related to the use of the third-party service Escrow.com.
The quality, legality, or availability of the assets offered for sale.
Financial losses, lost profits, or data loss suffered by users.
Indirect, incidental, or consequential damages resulting from the use of the service.
7. Intellectual Property
Users guarantee that they do not violate copyrights, trademarks, or any other intellectual property rights when publishing a listing or using the service. LUNIL does not verify the compliance of assets with intellectual property rights and disclaims all liability in the event of a claim.
8. Personal Data
Users’ personal data is processed in accordance with the General Data Protection Regulation (GDPR). LUNIL agrees not to share this information without the user’s explicit consent, except under legal obligation.
9. Modifications to the ToS
LUNIL reserves the right to modify these ToS at any time. Users will be informed of changes via a notification on the platform or by any other means of communication. Continued use of the service after modification of the ToS constitutes acceptance of the new conditions.
10. Termination
LUNIL may suspend or terminate a user account in the event of a violation of the ToS or suspicious activity, without notice or compensation.
11. Governing Law and Disputes
These ToS are governed by French law. Any dispute relating to their interpretation, validity, or execution will be submitted to the competent courts of Paris, notwithstanding multiple defendants or third-party appeals.
12. Disclaimer of Warranty
LUNIL does not guarantee the accuracy, reliability, or availability of the listings published on the platform. The use of the service is at the sole responsibility of the user.
13. Indemnification Clause
The user agrees to indemnify and hold LUNIL harmless from and against any claim, loss, legal action, or damage (including legal and attorneys’ fees) resulting from their actions on the platform, including any dispute arising from the payment or asset transfer process via Escrow.com, particularly in the event of a violation of intellectual property rights or any other infraction.
14. External Links and Third-Party Services
LUNIL is not responsible for the content, practices, or privacy policies of external sites linked to listings or integrated into the platform (including Escrow.com). Users access these third-party services at their own risk.
15. Secure Transactions (Recommendations)
To limit risks, LUNIL strongly recommends that users:
Verify the identity and reputation of the seller or buyer before any transaction.
Systematically use the Escrow.com service provided to secure the payment and transfer of critical assets (e.g., domain names).
Do not share their credentials, access codes, or transfer tokens (Auth-Code) before funds are explicitly secured and validated on the Escrow.com escrow account.
16. Specific Clauses by Asset Type
YouTube Channels: The seller guarantees to be the exclusive owner of the account and to have the right to transfer it in accordance with YouTube’s terms of service.
Domain Names: The seller must provide proof of ownership (e.g., registrar screenshot) and agree to facilitate the transfer.
Software: The seller guarantees that they have the necessary licenses for resale and that the software is not pirated.
17. Fraud Reporting
Users are encouraged to report any suspicious activity or fraud via a dedicated form on the platform. LUNIL reserves the right to take appropriate action, including reporting to the competent authorities and transmitting the necessary information.
